inDrive ("we," "us", the "Company", the "Promoter") offers you (the "Participant") an opportunity to earn rewards by registering as a "Driver" with the inDriver mobile application (the "App") and sharing a personal link to download the App with others and/or being designated as the referring person by the referred person (the "Referral) who will complete certain amount of rides using the App during the limited time period in cities Pelileo, San Miguel, Guamote, Girón, Chone, Babahoyo, Quevedo, Tulcan of Ecuador ("Referral Program" or "Program").

These terms and conditions ("Terms") apply to your participation in the Program. Participation in the Program is considered acceptance of this, and you agree to use the Program as described herein, and consistent with any other terms we may apply to the Program. If you do not agree to these Terms, do not register and participate in the Program.

1) Promoter. The Promoter is inDrive. In case of any questions and\or requests, the Promoter can be contacted by emailing to support@indrive.com.

2) Promotion Period. The Promotion will commence at 00:00 AM (ECT) on March 13, 2023 and will close at 23:59 PM (ECT) March 26, 2023. Promotion Period will be divided into 4 weeks (“Promotion stages”). Each week represents one Promotion stage.

3) Eligibility.

3.1) To be eligible to receive a Promotional Offer the Participant must satisfy all of the following criteria:

is at least 18 years old or more and has full legal capacity where they reside;
is not a director, employee, driver acquisition agent or an immediate family member of a director or employee, of either the Promoter or its related entities. Immediate family member is classed as either a spouse or a partner, children, parents or other close relatives;
has an existing, valid inDriver user account as a "Driver";
agree to the Terms of this Promotion;
provides their personal link to download the App and/or consent to the Referral providing the Promoter with their valid mobile phone number to enable the Promoter to acknowledge the referral (subject to the eligibility criteria being met).
The Referral will also receive a reward if he/she fulfills the conditions specified in paragraph 4 of these rules

3.2) The Referral must satisfy all of the following criteria:

is at least 18 years old or more and has full legal capacity where they reside;
is not a director, employee, driver acquisition agent or an immediate family member of a director or employee, of either the Promoter or its related entities. Immediate family member is classed as either a spouse or a partner, children, parents or other close relatives;
does not have an existing, valid inDriver user account;
agrees to the Terms of this Promotion;
downloads and install the App through the provided personal link or provides the Promoter with valid mobile phone number of the Participant in the section called "Referral Program" at ____________ (subject to the eligibility criteria being met);
registers with the App and successfully completes the verification process to receive "Verified" status in the App if registering as a driver;

4) Promotional Offer.
The Participant and\or Referral who fulfils the eligibility criteria in Clause 3 is eligible to receive the Promotional Offer for each stage of the Promotion as follows:

Bonus Reward Amount:
$10 - to the Participant, for each Referral, who completed 5 trips from the moment of registration (2 weeks are given to complete targets).
$15 - to the Participant, for each Referral, who completed 5 trips from the moment of registration and covered his car with advertising materials containing inDrive information (provided by third parties).
$10 - to the Referral, who completed 5 trips within 2 weeks from the moment of registration as a driver.

Promotional offer is only awarded to the Participant if both the Participant and the Referral simultaneously fulfil all the eligibility criteria mentioned in Clause 3.
Promotional offer is only awarded to the Participant and\or Referral once, if the Participant and\or Referral fulfil all the eligibility criteria mentioned in Clause 3 and complete the goals mentioned above in the Clause 4).

5) Collection details.

5.1) Amount of the promotional offer awarded for completion of the weekly target number of rides for a Promotion stage is determined by the Promoter at the start of the week following the previous reporting week during the Promotion period by counting the number of rides completed by the Participant\Referral.

5.2) To receive the promotional offer, the Participant\Referral must provide the Promoter with valid bank details via online form which can be found here: https://form.typeform.com/to/BBbIqy5T

5.3) Promotional offer will be sent to the Participants' or Referrals’ bank account within 2-4 days (subject to change due to bank operation schedule) after all the conditions have been met. After receiving the promotional offer in form of monetary award to the Participant’s or Referrals’ bank account, the Participant\Referral is solely responsible for declaring or notifying the state of receipt of such payment, if applicable.

5.4) If the Participant\Referral
- fails to claim the promotional offer within 14 (fourteen) days from the time the promotional offer award notification was sent, or
- is found ineligible by the Promoter,
the promotional offer will be forfeited. Receipt of the promotional offer by the Participant\Referral is upon the condition of compliance with any and all federal, state, and local laws and regulations. If the Participant\Referral violates any of these official rules and these Terms, the Participant\Referral (at the Promoter sole discretion) will be excluded from the Promotion, and all privileges as the Participant\Referral will be immediately terminated.

6) Reward Non-refundable and Other Offers. The Promotional Offer is non-refundable. The Participant\Referral, upon acceptance of the promotional offer, is solely responsible for all expenses related to the promotional offer, including without limitation any and all local, state, and federal taxes. The Participant\Referral shall not transfer assignment of the promotional offer to others nor shall the Participant\Referral request the cash equivalent or promotional offer substitution. This Promotion is not available in conjunction with any other offers by the Promoter.

7) Release. To the extent permissible by law, you release the Promoter, its related entities, its and their respective directors, officers, employee, agents, its advertising agencies, advisers, nominated agents, suppliers, affiliates and/or associated companies from any causes of action, loss, liability, damage, expense (including any claim for legal expenses). The Promoter will not be responsible for any delayed, lost or misdirected mail or any other communication.

7.1) The Participant\Referral agrees that the contest does not create any labor relationship between the Promoter and the Participant\Referral, so that its participation in the contest does not generate labor rights for the benefit of any of the parties with respect to the other.

8) Force Majeure. The Promoter will not be responsible or liable for any loss, cost or damage arising out of any act, omission, failure or delay by the Promoter or other party which is due to an act of god, riots, acts of terrorism, storms, fire, any labour or industrial dispute, any strike, and other acts which are not reasonably within the control of the Promoter.

9) Privacy.

9.1) By entering this promotional competition, the Participant\Referral agrees:
- The Participant\Referral is willing to supply their contact details, including a valid mobile number;
- The Participant\Referral agrees to the processing of his/her personal information in accordance with Privacy Policy specified in Clause 11
- The Participant\Referral agrees to receive marketing material from the Promoter.

9.2) Each Participant\Referral who enters the Program, authorises the Promoter to collect, store and use their personal information for the purposes of verifying eligibility criteria in accordance with Clause 3, as well as an entry mechanism, for communication, announcements, and/or statistical purposes. The personal information collected will be stored by the Promoter after the conclusion of the Program for such period and to the extent permitted by law (for the duration of the Promotion Period). Participant\Referral can opt out of future communications at any given time.

9.3) By accepting the promotional offer, the Participant\Referral grants permission for the Promoter to use the Participant\Referral submission, name, photo, likeness, image, statements about the Program, and information (provided for registration) for news, publicity, advertising, promotional purposes, information, and public relations without any further notice, review, consent, compensation, or remuneration, unless prohibited by law.

10) Anti-corruption

10.1) By accepting the promotional offer, the Participant\Referral represents that he is not a government official, does not affiliate with any government official nor the member of any terrorist organisation or affiliate to its members. Participant\Referral represents that he does not participate in sponsoring terrorism or any other prohibited activity, not included in any sanctions or other blocked lists.
Participant\Referral represents that he do not participate in bribery, commercial bribery, do not pay, do not offer to pay and do not authorise the payment of any monetary funds or values, directly or indirectly, to any person, to influence the actions or decisions of these persons in order to obtain any unlawful advantages or to achieve other unlawful goals or do not included in any sanctions or other watch lists.

11) Program Cancellation.

11.1) The Promoter, in its sole discretion, reserves the right to cancel, suspend, terminate or modify the Promotion at any time for any reason.

11.2) In its sole discretion, the Promoter reserves the right to modify, suspend, cancel, or terminate the Program should non-authorized human intervention, a bug or virus, fraud, or other causes beyond the Promoter’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Program. The Promoter, in the event of any of the above issues, may determine the liable Participant\Referral based on all entries received prior to and/or after (if appropriate) the action taken by the Promoter. Individuals who tamper with or attempt to tamper with the operation or entry process of the Program or website or violates these Terms will be disqualified from the Promotion without any promotional offer awards by the Promoter in its sole discretion and could be banned from using the App. In its sole discretion, the Promoter has the right to maintain the integrity of the Program, including, but not limited to: identify any disallowed entry methods that will result in entries being voided; examples: multiple entries from the same user; multiple entries from the same computer/device beyond the number allowed by the Program rules; or the use of bots, macros, scripts, or other technical means for entering. Attempts by any Participant\Referral to deliberately damage any website or undermine the legitimate operation of the Program may be a violation of criminal and civil laws. If any such attempt is made, the Promoter reserves the right to seek damages to the fullest extent permitted by law.

13) By reading the present Terms and Conditions, You, the Participant\Referral, have affirmatively reviewed, accepted, and agreed to all of the Rules, Terms and Conditions.

In the event of a discrepancy between promotional material (or any other sources of information digital or print) and these terms and conditions, these terms and conditions shall prevail.
